Lucy in the Loop, Inc. is incorporated in the State of Wyoming. The choice is structural: Wyoming corporations do not publicly disclose shareholders, and the jurisdiction's close-corp tradition aligns with a small founder-led operating company that intends to stay small.

Redomicile to Delaware is a 30-day operation we will undertake if a priced funding round materially requires it. The corporate jurisdiction is a tool, not an identity.

Board

In formation.

The board is in formation. The composition will be announced as seats are filled. Until then, governance authority sits with the founder and is exercised in consultation with named advisors.

Conflicts of interest

Three entities, one founder, named in full.

The founder of Lucy in the Loop, Inc. simultaneously holds positions in the following related entities:

  • Quantum Pipes Technologies LLC, a Wyoming limited-liability company. The founder and his spouse are the sole members. QP is the IP holder for the Lucy persona and the capsule audit chain, and is therefore the licensor in the arm's-length license that Lucy in the Loop, Inc. operates under.
  • Synova Industries, the venture studio. The founder is a co-founder and majority equity holder. Synova holds the portfolio-governance umbrella under which Lucy in the Loop, Inc. sits.
  • Lucy in the Loop, Inc., the operating company described on this site.

Related-party transactions among these entities are disclosed in the licensing agreement between QP and Lucy in the Loop, Inc. and in future shareholder communications. We do not avoid related-party structure; we structure it deliberately and name it plainly.

Code of conduct

Lucy in the Loop, Inc. commits to:

  • Never selling patient records or training a model on patient records without explicit, informed consent.
  • Naming the cryptographic primitives in the chain on the public security page.
  • Operating Lucy under HIPAA business-associate agreements with every institutional buyer.
  • Refusing to deploy Lucy on surfaces (or with framings) that would make her the diagnostic agent of record. The clinician remains the agent of record. Lucy is the second reader.
  • Coordinated, good-faith disclosure of security vulnerabilities, with no legal action against good-faith research.
